Terms of Service

These Terms of Service ("Terms") govern your use of Koligly, operated by ProActa High Performance Management Limited ("ProActa", "we", "us"). By creating an account or otherwise using Koligly, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use Koligly.

Koligly provides messaging, voice and video calling, Koligly-Talkie walkie-talkie and off-grid mesh radio, live broadcasting, Moments, a business directory and marketplace, and the Koligly Personal Safety System. Core messaging and calling are free. Some features are offered as paid plans, described on the Premium page.

You agree not to use Koligly to:

• Harass, threaten, stalk or unlawfully target another person.
• Send spam, unsolicited bulk messages, or run automated abuse of the platform.
• Infringe copyright, trademarks, or other intellectual property rights.
• Manipulate broadcasts, listener counts, or engagement metrics.
• Upload malware, or attempt to breach the security of the service.
• Misuse the Panic Button, Guardian Mode or SOS features to raise false alarms.

Report a violation from Settings → Help and support or by emailing abuse@koligly.com. We may suspend or terminate accounts that violate this section.

If you host a live radio or video broadcast on Koligly, you are solely responsible for everything said or played during it — including any third-party audio, music, or statements made by you or your guests. You are responsible for holding any licenses required to broadcast copyrighted music or content. Koligly may remove a broadcast or suspend a host that violates this section or our acceptable-use rules.

Paid plans (Koligly-Talkie Pro, Asset Vault, Corporate Broadcast & Fleet) are billed by ProActa and processed through Flutterwave, supporting card, bank transfer, mobile money and USSD. Subscriptions renew automatically for the billing cycle you chose until you cancel from Settings. You can cancel at any time; cancelling stops future renewals but doesn't refund the current period. Refunds outside that are handled case-by-case — contact billing@koligly.com.

Koligly Dollars ("KD") are a promotional reward balance earned mainly by inviting people who go on to use Koligly. KD is not money, a security, or a cryptocurrency. It has no cash value, cannot be withdrawn, sold, or transferred to another person, and can only be spent on Koligly's own paid plans and marketplace purchases. We set how much KD an action earns and what it costs to redeem, and may change either going forward, adjust or remove a reward for suspected abuse, or end the program entirely — KD already in your balance at that point remains redeemable for a reasonable transition period. Referral rewards are single-level only: you earn from people you directly invited, never from anyone they go on to invite. We may withhold or reverse KD earned through fake accounts, self-referral, or other manipulation of the program.

Koligly's software, branding and design are owned by ProActa. You retain ownership of the content you post, and grant us the limited license needed to store, transmit and display it as part of operating the service.

You may delete your account at any time from Settings → Account. We may suspend or terminate an account that violates these Terms, poses a security risk, or where required by law.

Koligly is provided "as is." We work hard to keep messaging, calling and safety features reliable, but we cannot guarantee uninterrupted service, and Guardian Mode, Journey Mode and the Panic Button are aids, not a substitute for emergency services. To the fullest extent permitted by law, ProActa is not liable for indirect, incidental or consequential damages arising from your use of Koligly.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of Koligly is subject to the exclusive jurisdiction of the Nigerian courts, without prejudice to either party's right to seek arbitration under the Arbitration and Mediation Act.

We may update these Terms as Koligly evolves. We'll update the "Last updated" date above, and where a change is material we'll let you know in the app.
