Terms of Service

These Terms of Service ("Terms") govern your use of Koligly, operated by ProActa High Performance Management Limited ("ProActa", "we", "us"). By creating an account or otherwise using Koligly, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use Koligly.

Koligly provides messaging, voice and video calling, Koligly-Talkie walkie-talkie and off-grid mesh radio, live broadcasting, Moments, a business directory and marketplace, and the Koligly Personal Safety System. Core messaging and calling are free. Some features are offered as paid plans, described on the Premium page.

You must be at least 13 to use Koligly. We ask for your date of birth once; it is private and cannot be changed afterwards. If you are under 18 you confirm that a parent or guardian is happy for you to use Koligly. Young people get extra protections: they are not listed in search, and people they have not approved cannot reach them. A parent or guardian may ask to link with a young person; the young person must accept, can end the link at any time, and the adult can see who the young person talks to but never their messages, calls or location.

The Personal Safety System alerts only the trusted contacts you chose, and only those who accepted. Koligly is not an emergency service and never contacts one for you. If you are in danger, call your local emergency number. Do not add a person you fear as a trusted contact. Sharing your screen shows everything on it to the people on the call: only share with people you know and trust.

You agree not to use Koligly to:

• Harass, threaten, stalk or unlawfully target another person.
• Send spam, unsolicited bulk messages, or run automated abuse of the platform.
• Infringe copyright, trademarks, or other intellectual property rights.
• Manipulate broadcasts, listener counts, or engagement metrics.
• Upload malware, or attempt to breach the security of the service.
• Misuse the Panic Button, Guardian Mode or SOS features to raise false alarms.

There is zero tolerance for objectionable content, harassment, hate speech, or abusive behavior on Koligly. All reports are reviewed promptly and offending users or content are subject to immediate removal or account suspension.

Report a violation from Settings → Help and support, directly within any chat via the message menu, or by emailing abuse@koligly.com. We may suspend or terminate accounts that violate this section.

If you host a live radio or video broadcast on Koligly, you are solely responsible for everything said or played during it — including any third-party audio, music, or statements made by you or your guests. You are responsible for holding any licenses required to broadcast copyrighted music or content. Koligly may remove a broadcast or suspend a host that violates this section or our acceptable-use rules.

Paid plans (Koligly-Talkie Pro, Asset Vault, Corporate Broadcast & Fleet) are billed by ProActa through secure payment processing, supporting card, bank transfer, mobile money and USSD where available. Website plan purchases buy the month or year shown before payment and do not automatically renew. You can choose not to renew; access lasts through the paid period. Google Play subscriptions renew automatically at the price and period shown until cancelled in Google Play → Payments & subscriptions → Subscriptions → Koligly. Cancelling stops future renewals but doesn't refund the current period. Refunds outside that are handled case-by-case — contact billing@koligly.com.

Creators can earn on Koligly from tips, tickets to paid shows, channel memberships and products sold during a show. These are payments from a viewer to the creator. Koligly provides the tools and takes the payment through secure payment processing, keeping a share of each payment. The current shares and when a creator is paid are shown on the How you earn page, and the share that applies is the one shown there when the payment is made.

Payouts. A creator's share is held for a short period (72 hours, or 5 days for products, so there is time to deliver), then paid to the creator's verified bank account each week once the payable balance reaches the minimum shown on that page. Creators are responsible for any tax on what they earn.

Memberships. One membership payment buys 30 days of access to the creator's members-only shows. A member can choose automatic renewal when they join: their card is then charged the membership price every month, at the price they signed up at, until they cancel. They can cancel at any time from the creator's show page ("Stop automatic renewal") and, where the payment provider sends one, from its reminder email. Cancelling stops future charges and keeps access for the period already paid for; it does not refund that period. If a creator ends their membership, automatic renewals on it stop and any charge that still goes through is refunded in full. A creator changing their price does not change the price of a member who is already renewing.

Products. A creator who sells a product is the seller. They are responsible for describing it truthfully, delivering it, and handling returns. Koligly is not a party to the sale and does not hold or deliver goods. The delivery details a buyer gives are shared with that seller so they can fulfil the order. Creators may not sell anything unlawful or prohibited by these Terms.

Refunds. If a payment arrives for an offer that has since changed (for example the price moved, or a limited product sold out while the buyer was paying), it is refunded in full automatically. A creator can refund a tip, ticket, membership payment or sale in full while the payment is still on hold; a refunded ticket or membership stops giving access and a refunded order is cancelled. Once a payment has been paid out to the creator, Koligly cannot take it back automatically and the buyer and creator should settle it directly; write to billing@koligly.com if you need help. This does not limit any rights you have under the law that applies to you. We may withhold or reverse earnings that come from fraud, chargebacks or a breach of these Terms.

Koligly Dollars ("KD") are a promotional reward balance earned mainly by inviting people who go on to use Koligly. KD is not money, a security, or a cryptocurrency. It has no cash value, cannot be withdrawn, sold, or transferred to another person, and can only be spent on Koligly's own paid plans and marketplace purchases. We set how much KD an action earns and what it costs to redeem, and may change either going forward, adjust or remove a reward for suspected abuse, or end the program entirely — KD already in your balance at that point remains redeemable for a reasonable transition period. Referral rewards are single-level only: you earn from people you directly invited, never from anyone they go on to invite. We may withhold or reverse KD earned through fake accounts, self-referral, or other manipulation of the program.

Koligly's software, branding and design are owned by ProActa. You retain ownership of the content you post, and grant us the limited license needed to store, transmit and display it as part of operating the service.

You may delete your account at any time from Settings → Account. We may suspend or terminate an account that violates these Terms, poses a security risk, or where required by law.

Koligly is provided "as is." We work hard to keep messaging, calling and safety features reliable, but we cannot guarantee uninterrupted service, and Guardian Mode, Journey Mode and the Panic Button are aids, not a substitute for emergency services. To the fullest extent permitted by law, ProActa is not liable for indirect, incidental or consequential damages arising from your use of Koligly.

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising from these Terms or your use of Koligly is subject to the exclusive jurisdiction of the Nigerian courts, without prejudice to either party's right to seek arbitration under the Arbitration and Mediation Act.

We may update these Terms as Koligly evolves. We'll update the "Last updated" date above, and where a change is material we'll let you know in the app.
